Agreement to Terms

By accessing or using the Signals platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

Description of Service

Signals is a building data intelligence platform that provides:

• Real-time access to building permits, inspections, violations, and complaints
• Data aggregation from 21 major US cities' official municipal open data portals
• Custom alerts and notifications based on user-defined criteria
• API access for programmatic data retrieval
• Data export and integration capabilities

Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You may not create an account using a false identity, impersonate another person, or use an account that you are not authorized to use.

Subscription Plans and Payment

Billing

By purchasing a subscription, you agree to pay all fees associated with your selected plan. Subscription fees are billed in advance on a monthly basis and are non-refundable except as required by law.

Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for renewal fees.

Plan Changes

You may upgrade or downgrade your plan at any time. Changes take effect immediately, and billing adjustments will be prorated.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds will be provided for partial billing periods.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with our Acceptable Use Policy. You agree NOT to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit harmful code, viruses, or malware
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) without authorization
• Resell or redistribute data without permission
• Remove or obscure any proprietary notices

API Usage

If you use our API, you agree to:

• Comply with rate limits and usage restrictions for your plan
• Not abuse or overload the API with excessive requests
• Implement reasonable security measures to protect your API keys
• Attribute data to Signals when displaying it publicly
• Not cache or store data beyond reasonable operational needs

We reserve the right to suspend or terminate API access for violations of these terms.

Data Sources and Accuracy

The building data provided through our Service is sourced from official municipal open data portals. While we strive for accuracy, we make no warranties regarding:

• The accuracy, completeness, or timeliness of the data
• The availability or uptime of data sources
• Errors or omissions in source data

You acknowledge that source data may contain errors and should verify critical information directly with the relevant municipality.

Intellectual Property

The Service and its original content, features, and functionality are owned by Signals and are protected by international copyright, trademark, and other intellectual property laws.

The building data itself is public information sourced from government agencies. Our aggregation, organization, and presentation of this data is proprietary.

Disclaimers and Limitations of Liability

Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

No Guarantee of Availability

We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We may suspend or discontinue the Service at any time without notice.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNALS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Indemnification

You agree to indemnify, defend, and hold harmless Signals, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Non-payment of fees
• Fraudulent activity
• At our sole discretion for any other reason

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. Material changes will be notified via email or prominent notice on our Service. Your continued use after changes become effective constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and Signals regarding the Service and supersede all prior agreements and understandings.
